Terms and Conditions

1. Nature of the Service and Your Relationship

Occasor operates as a marketplace platform connecting independent vendors ("Vendors") with customers ("Customers") seeking event planning, services, and products.

Important Disclaimer: Occasor is NOT a party to any transaction between a Customer and a Vendor. Occasor provides the venue for users to meet and arrange services. The Vendors are solely responsible for the quality, legality, and execution of the services they offer, including all contracts, pricing, and communication.

2. Vendor Responsibilities and Registration

Any User registering as a Vendor on the Platform agrees to the following core responsibilities:

• Accuracy of Information: You warrant that all information provided in your profile, including business name, services, pricing, and availability, is truthful and accurate.
• Compliance: You must comply with all applicable local, regional, and national laws and regulations concerning your business operations and services.
• Pricing and Payments: All pricing displayed must be accurate. You are solely responsible for setting, collecting, and remitting all applicable taxes (e.g., sales tax, service tax) related to your services.
• Booking Management: You agree to manage all bookings received through Occasor professionally and to honor the terms of service agreed upon with the Customer.

3. Customer Responsibilities and Booking Agreement

• Due Diligence: Customers are strongly encouraged to perform their own due diligence (including checking reviews, portfolios, and meeting the Vendor) before entering into any agreement.
• Binding Contract: Any booking made via Occasor constitutes a binding contract directly between the Customer and the Vendor. Occasor is not liable for any breach of that contract.
• Payments: Payments and deposits are handled directly between the Customer and the Vendor, unless Occasor implements a facilitated payment system, in which case those specific payment terms will apply.

4. Intellectual Property and User Content

• Platform Content: All content, logos, design, and code on the Platform are the property of Occasor and protected by copyright law.
• User Content License: Users grant Occasor a perpetual, worldwide, royalty-free license to use, display, reproduce, and distribute any content (including images, reviews, and descriptions) submitted to the Platform for the purpose of operating and promoting the marketplace.
• Content Warranty: Users warrant that all content they upload does not infringe on the intellectual property rights of any third party.

5. Reviews and Ratings Policy

• Eligibility: Customers may submit reviews and ratings only after a service has been formally booked and executed (as evidenced by a recorded booking through the system).
• Moderation: All reviews must be honest, factual, and non-defamatory. Occasor reserves the right to remove or moderate any content that violates this policy or is deemed abusive, irrelevant, or illegal.

6. Limitation of Liability and Indemnification

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCCASOR WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF THE PLATFORM OR ANY SERVICE OBTAINED THROUGH THE PLATFORM.

No Warranty: The Platform is provided "as is," without warranties of any kind, express or implied.

Indemnity: You agree to indemnify and hold harmless Occasor and its officers, directors, and employees from any claim or demand made by any third party due to or arising out of your breach of these T&C, or your violation of any law or the rights of a third party.

7. Governing Law and Dispute Resolution

These T&C shall be governed by and construed in accordance with the laws of The Republic of India.

Any disputes arising under or in connection with these T&C shall be subject to the exclusive jurisdiction of the courts located in Palampur, Distt. Kangra, Himachal Pradesh - 176061.

8. Changes to Terms

Occasor reserves the right to modify these T&C at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform constitutes acceptance of the modified terms.
